VANCOUVER, BC / ACCESS Newswire / August 29, 2025 / Right Season Investments Corp. (TSXV:LITT), ("Right Season" or the "Company") announces that it proposes to complete a non-brokered private placement (the "Offering") of up to 20,000,000 units of the Company (the "Units") at a price of $0.06 per Unit, for gross proceeds of up to $1,200,000. Each Unit will consist of one common share ("Share") of the Company and six-tenths of one common share purchase warrant ("Warrant"). Each Warrant will entitle the holder, on exercise, to purchase one Share for a period of forty-eight months following the closing date of the Offering at the exercise price of $0.07 per Share.
Net proceeds from the Offering will be used to pursue potential investment opportunities and for general working capital purposes.
In connection with the Offering, the Company may pay finders' fees and/or issue finders' warrants on the same terms as the Warrants, to eligible parties who have assisted by introducing subscribers to the Offering.
The Company also intends to issue Shares equal to 1.0% of the total of Shares issued in the Offering to an arm's-length third party, as an administrative fee for their assistance with the Offering.
All securities to be issued in connection with the Offering will be subject to a four-month-and-one-day statutory hold period in accordance with applicable securities laws and, as applicable, the TSX Venture Exchange hold period. Completion of the Offering remains subject to the approval of the TSX Venture Exchange. The Units will be offered pursuant to exemptions from the prospectus requirements.
